1. Who is the Customer Contracting With?

1.1 When you, the customer, engage in any transaction through the Website located at https://hesabuinternational.co.za/ (hereinafter referred to as “the Site”), you are entering into a contractual agreement directly with Hesabu International. Hesabu International is a reputable company that has been supplying quality workwear products to customers like you, as well as to the general public, for many years. For the purpose of these Terms and Conditions, “Hesabu International” or “Us,” “Our,” and “We” refers collectively to Hesabu International and its authorized representatives.

1.2 These Terms and Conditions are designed to govern the entire relationship and all transactions between you and Hesabu International when you use the Site. This includes, but is not limited to, the supply, purchase, and delivery of any products that you order through the Site. By clicking the button or checkbox marked “I accept” on these Terms and Conditions, you expressly agree that you are entering into a binding legal agreement with Hesabu International, and you accept to be bound by all terms outlined herein, without limitation. Please note that any changes, modifications, or variations to these Terms and Conditions will only be valid and enforceable if such changes are explicitly confirmed in writing and signed by an authorized representative of Hesabu International. Verbal agreements or informal correspondence will not constitute valid modifications.

1.3 It is important to understand that these Terms and Conditions may be updated from time to time. Therefore, after you initially accept these Terms and Conditions, if you place any subsequent orders on the Site, you acknowledge and agree that each order will be governed by the version of the Terms and Conditions that is in effect at the time you submit that particular order. It is your responsibility to review and familiarize yourself with the current Terms and Conditions before placing each order to ensure you fully understand your rights and obligations at that time.

Your Eligibility to Enter into a Contract with Us

In order to use this Website for the purpose of purchasing goods from Us, you must meet certain eligibility criteria. Specifically, you must be at least eighteen (18) years of age or older, and you must possess a valid credit or debit card that has been issued by a financial institution or bank that is acceptable to Us. By proceeding with and placing an order through the Site, you represent and warrant that you meet these eligibility requirements — that is, you confirm that you are over eighteen (18) years of age and that you have the legal capacity and authority to enter into a binding contract with Us. If you do not meet these criteria, you are not authorized to use the Site for purchasing goods.

The ordering process and contracting with Us

3.1 To place an order for any product available on Our Site (“Product/s”), You must first register as a customer on the Site. You agree and guarantee that the username and password You create during registration:
a) will be used solely by You; and
b) will not be shared with any third party.
We are not responsible for any misuse of Your login details if You fail to comply with this requirement.

3.2 After registering, You must follow the Site’s instructions to submit an order. You confirm that all personal information You provide when placing an order is accurate. We cannot be held liable for acting on any incorrect or inaccurate information You supply.

3.3 When You select a Product and reach the checkout page, the total price, including VAT and shipping fees (if applicable), will be shown in South African currency. By submitting Your order at checkout, You make a valid and binding offer to purchase the Product.

3.4 Payment in full must be made at the time of ordering. You can pay by providing credit or debit card details from a card issuer acceptable to Us, which We require to process Your order. Alternatively, payment by EFT is allowed, but We will only supply the Product once full cleared payment is received.

3.5 We reserve the right to reject certain payment methods and may require You to use an alternative payment option at Our discretion.

3.6 By giving Us credit or debit card details, You confirm You are legally authorized to use the card/account and that it has sufficient funds to cover the payment.

3.7 You promise that all payment and purchase details You provide are accurate, that the payment method is Yours, and that there are enough funds or credit available. We may verify Your payment details with the relevant financial institution before fulfilling Your order.

3.8 Your order is an offer to purchase until We send a Confirmation of Order or You revoke the order. We are not obligated to supply Products until We accept Your order. We may refuse or partially accept orders for any reason (e.g., stock unavailability) and may propose alternative Products, in which case You may need to reorder. Confirmation of acceptance will be sent by email. You can cancel or modify Your order by emailing info@hesabuinternational.co.za before receiving the Confirmation of Order. Partial acceptance of orders means the unaccepted portion remains an offer until confirmed.

3.9 While We strive to keep prices accurate, We may change prices before accepting Your order. If this happens, We will contact You to confirm if You wish to proceed with the updated price.

3.10 We reserve the right to refuse or cancel any order or payment if We suspect fraud, at Our sole discretion.

3.11 If after accepting Your order a Product becomes unavailable, We will notify You and refund any payments made. We accept no liability for such cancellations.

3.12 Refunds will be made using the original payment method where possible. If that is not feasible, We will contact You to arrange an alternative refund method.

3.13 It is Your responsibility to ensure the Products You order are suitable for Your needs. We do not guarantee that Our Products will meet Your specific requirements or be fit for Your individual purposes, as they are designed as standard items and not custom-made.

Delivery

4.1 We strive to deliver the Product to the address you specify in your order within the timeframe stated in our Order Confirmation. However, we cannot guarantee a specific delivery date or time and will not be responsible for any losses, damages, costs, or expenses resulting from late delivery. We will make reasonable efforts to inform you of any delays.

4.2 You agree to check the Product for any visible faults, defects, or damage before accepting delivery. Please keep the delivery receipt as proof of purchase and for any future communication with us regarding the Product.

4.3 Risk in the Product passes to you once it has been dispatched for delivery. From that moment, we are not responsible for any loss or damage to the Product.

4.4 Delivery to certain addresses may not be possible. If this occurs, we will notify you and offer to cancel the order or arrange delivery to an alternative address.

4.5 If you are unavailable to accept delivery, we may leave a note with instructions for re-delivery or collection from the courier.

4.6 Our standard packaging methods ensure careful handling of goods. Any special packaging requests must be made at the time of order and may incur extra charges at our discretion. Please handle packages carefully when opening, as we are not liable for any damage caused by improper handling.

4.7 If delivery or collection is delayed due to your refusal to accept delivery, or if you do not accept or collect the Product within two weeks of our first delivery attempt, we may (without limiting other rights) do one or both of the following:

4.7.1 Charge you reasonable storage and other costs incurred because of the delay; and/or

4.7.2 Cancel the order and refund any payment received, less reasonable administration fees for attempted delivery, return of the Product, and any storage costs as described above.

Warranties, Order Issues, and Refunds

5.1 Our Warranty Covers Only That:

  • 5.1.1 The Products will be delivered new, undamaged, and in the quantities you ordered;
  • 5.1.2 The Products will match the specifications shown on our Site or in our Product materials at the time of your Order;
  • 5.1.3 The Products are intended to be used strictly according to the manufacturer’s instructions, as detailed on the Site or on the Products themselves. It is your responsibility to ensure proper use in line with these instructions.

5.2 Slight variations in colour, design, size, materials, measurements, or other features may occur, provided such differences are reasonable.

5.3 Cooling-Off Period and Cancellations:
You have the right to cancel any purchase with us within 7 (seven) days of receiving the Products and receive a refund. You may also cancel if delivery is delayed beyond the promised date/timeframe, or if no delivery timeframe was given, beyond 30 (thirty) days from the order date. No cancellation fees will apply in these cases, provided that:

  • 5.3.1 The Products are returned in the same condition as when delivered;
  • 5.3.2 If you only return some of the Products, we reserve the right to recalculate and retain delivery charges for the items you keep;
  • 5.3.3 You are responsible for return shipping costs for exchanges, either via your chosen courier or by arranging collection through us after payment of the applicable freight charges. Collection will only be arranged once freight payment is received.

5.4 If you claim a Product is defective, you agree to keep it in its current condition and make it available for our inspection within a reasonable timeframe.

5.5 To assist with any defect claims, you agree to provide information as requested by us about the Product and the nature of the defect.

5.6 If a Product is found to be defective, your available remedies include:

  • 5.6.1 Refund;
  • 5.6.2 Repair; or
  • 5.6.3 Replacement.

5.7 If we determine that a Product has been abused, misused, neglected, improperly handled, modified, or worn through normal use, we may, at our sole discretion, refuse to provide a refund, repair, or replacement. Additionally, we may charge you for any reasonable delivery or servicing costs using the payment details you provided at the time of purchase.

Vouchers and Promotional Coupons

6.1 You can use promotional coupons and gift vouchers as payment for regular-priced products available on the Site. Details regarding promotional coupons are outlined in clause 6.6, and those related to gift vouchers can be found in clause 6.7.

6.2 To redeem vouchers linked to your Account or to check your available credit, please visit the “My User Account” section on the Site.

6.3 We may send gift and promotional vouchers to you via email. However, we are not responsible for any errors resulting from incorrect email addresses provided by the voucher recipient.

6.4 If you hold a gift or promotional voucher, you may transfer the voucher for use by another person. Vouchers can only be redeemed once, so it is your responsibility to keep them secure. We accept no liability for any unauthorized loss, misuse, or theft of vouchers.

6.5 If there is any suspicion or evidence of fraud, deception, or other illegal activity involving vouchers, we reserve the right to close your Account and/or invalidate any voucher at our sole discretion.

6.6 From time to time, we may issue promotional coupons at our discretion, which will be sent to you by email. These promotional coupons:

  • 6.6.1 can only be redeemed on the Site;
  • 6.6.2 are valid only for the specific time period indicated on the coupon;
  • 6.6.3 apply only to regular-priced products;
  • 6.6.4 cannot be combined with other promotional coupons;
  • 6.6.5 may exclude certain brands or products, which will be clearly stated if applicable;
  • 6.6.6 are valid exclusively for purchases on the Site and not in physical stores unless otherwise stated;
  • 6.6.7 cannot be partially redeemed — if the order value is less than the coupon value, no refund or leftover credit will be issued. If your order exceeds the coupon value, you can pay the difference by other payment methods;
  • 6.6.8 do not earn interest and have no cash value.

6.7 You may purchase gift vouchers for your own use or as a gift. These will be sent to you via email. Gift vouchers:

  • 6.7.1 cannot be used to purchase additional gift vouchers;
  • 6.7.2 may only be purchased using debit or credit cards, or EFT payments;
  • 6.7.3 do not earn interest and have no cash value;
  • 6.7.4 cannot be returned or exchanged for cash;
  • 6.7.5 are considered redeemed once used as payment for an order;
  • 6.7.6 may be used to partially pay for an order — if the voucher value is less than the order amount, you may pay the remaining balance by other payment methods.

Limitation of Liability

7.1 Despite any other provisions in these Terms and Conditions, this clause 7 takes precedence over all others and represents our full and complete liability, as well as your exclusive remedy, for any issues related to the performance, failure to perform, attempted performance, or delay in performing these Terms and Conditions, or any matters arising from or connected to these Terms and Conditions or their execution.

7.2 Under no circumstances shall our total liability to you for any costs, damages, or losses—whether direct, indirect, or consequential—exceed the total value of the order for the Products that caused the claim.

Customer Service

8.1 We will carry out our responsibilities under these Terms and Conditions with reasonable skill and care.

8.2 If you have any complaints related to your use of the Site, you can contact us at any time using the contact details provided in clause 1.1. We will make every effort to resolve your concerns promptly and will respond within a reasonable timeframe after receiving your enquiry or complaint. Please note that for product-related complaints, we may need to involve the manufacturer, which could extend the resolution time.

8.3 To help us address your complaint efficiently, please provide a clear description of the issue and, where relevant, include copies of your order or the order number assigned in your Confirmation of Order. If you do not hear back from us within five (5) Business Days, please follow up with us. Occasionally, emails may be caught by spam filters or not delivered, and similarly, our responses may not reach you.

9.1 We safeguard your personal information as outlined in our Privacy Policy, which is available alongside these Terms and Conditions.

9.2 By using the Site, you grant us permission to take all necessary measures to maintain the security and integrity of the Site and its associated back-office systems. Force Majeure (Unforeseeable Events Beyond Our Control)

10.1 We shall not be held responsible for any failure, delay, or disruption in fulfilling our obligations if caused by circumstances beyond our reasonable control. Such circumstances include, but are not limited to, natural disasters, unavoidable incidents, actions by third parties (such as hackers, suppliers, governments, or local authorities), civil unrest, war, terrorism, national emergencies, strikes, epidemics or pandemics, fires, storms, floods, droughts, earthquakes, accidents, mechanical failures, third-party software issues, utility outages (including electricity, telecommunications, or internet), or shortages of supplies, materials, equipment, or transport (“Force Majeure Event”), regardless of whether these events were foreseeable.

10.2 If a Force Majeure Event continues for 10 (ten) or more business days, either party may terminate the order by providing written notice to the other. In such cases, neither party will be liable for any losses due to the termination, except that You will be entitled to a refund for any products You have already paid for but have not received.

10.3 If We have agreements to supply the same or similar products to multiple customers and a Force Majeure Event limits our ability to fulfill all orders, We reserve the right to determine, at our sole discretion, which orders to fulfill and to what extent.

Notices

11.1 Any notice required under these Terms and Conditions, or relating to them, must be in writing and may be delivered personally, sent by prepaid registered mail, or emailed to the relevant party at the last known postal or email address of that party.

11.2 Notices sent by post will be considered delivered five (5) Business Days after mailing, if the recipient’s address is within South Africa. Notices sent by email will be deemed delivered once confirmed as received by the recipient’s mail server. Proof of delivery will be satisfied by demonstrating that the notice was correctly addressed and either posted with prepaid or recorded delivery, or sent with confirmation of dispatch or delivery.

Governing Law and Jurisdiction
This Site is hosted, managed, and operated within the Republic of South Africa and is subject to South African law. Both You and We agree to submit to the exclusive jurisdiction of the South African courts.

We also reserve the right to terminate these Terms and Conditions and/or shut down the Site at any time, provided that any orders already placed and accepted by Us will still be processed.

Disclaimer
Except where we are legally liable to you under the Consumer Protection Act 68 of 2008 (“CPA”) for products sold to you via this Site, or under sections 43(5) and 43(6) of the Electronic Communications and Transactions Act (ECT Act) regarding the security of our payment systems, neither we nor our agents or representatives will be held responsible for any damage, loss, or liability arising from your use or inability to use this Site, its services, or its content.

We do not guarantee that the content and technology available on this Site are free from errors or omissions, nor that the service will be uninterrupted or error-free at all times. You are encouraged to report any malfunctions or errors to info@hesabuinternational.co.za.
